Section I Important Notice



I. (1) International Trust Co., Ltd. of Jiangsu Province

As the largest shareholder of the company, Jiangsu Provincial International Trust and Limited Liability Company holds 11.59% of shares. Founded in 1981 and reregistered in August 2002, it is a large financial institution approved by the People's Government of Jiangsu Province, People's Bank of China and the Banking Regulatory Commission of China. Its registered capital is 2.48 billion yuan (RMB), as one of the best in this industry in both asset scale and quality. It is controlled by Jiangsu Guoxin Group.

Since its establishment, it has been developing steadily on the basis of financial trust industry, providing quality services to economic development and the broad masses of customers in Jiangsu province, having established a good corporate image and relatively high reputation in the same industry in China.

(2) Jiangsu Phoenix Publishing Media Group Co., Ltd.

Jiangsu Phoenix Publishing Media Group Co., Ltd. holds 6.38% of corporate shares. As one of the largest and most powerful large-scale publishing groups, Phoenix Publishing Media Group was established in September 2001 and has a broad scope of operation, including the publishment, printing and distribution of books, periodicals and other electronic audio-visual publications, material supply, estate development, packaging, printing, hotels, foreign trade and so on. According to the latest list of the national publishing industry, its six major economic indicators rank first. Indicators include the asset size, net assets, sales revenue, gross profit, and pretax profit. In 2007, the Group won the governmental award of “An Advanced Publishing Unit” as one of the first publishing units.

(3) Huatai Securities Co., Ltd.

Huatai Securities Co., Ltd. holds 6.37% of corporate shares. It was formerly known as Securities Firm of Jiangsu Province founded in December 1990, as one of the first general brokers approved by Securities Regulatory Commission of China and one of the earliest pilots qualified for innovation. It was classified by Securities Regulatory Commission of China as A category A class in July 2007 and A category AA class in July 2008. It has controlled Southern Fund Management Co., Ltd., set up the Fund Management Co., Ltd as a joint venture. With AIG, trusteeship and the acquisition the securities assets of the original Asian Securities; controlled Lianhe Stock Limited Liability Company, Xintai Securities Co., Ltd. and Great Wall Wei Ye Futures Co., Ltd.; funded the establishment of Huatai Financial Holding (Hong Kong) Ltd. and Huatai Zijin Investment Limited Liability Company. It has nearly 180 business outlets in large and medium-sized cities in China.

IV. Demission and appointment of directors, supervisors and senior managers in 2008

On August 4, 2008, the company held in Nanjing the fifth session of the first Board of Supervisors, reporting that Ji Ming was elected supervisor of the Company. The session discussed and approved “On the Election of the Deputy Chairman of the Board of Supervisors” and "On Liu Changji’s Demission of Chairman of the Board of Supervisors and Supervising Duties” while having elected Ji Ming as the Deputy Chairman of the Board of Supervisors.

On August 5, 2008, the ninth session of the first Board of Directors discussed and adopted a resolution on the appointment of Liu Ji as vice president of Bank of Jiangsu. On August 21, 2008, “On Liu Changji’s Appointment” No.〔2008〕 427 by Banking Regulatory Commission of China approved Liu’s qualification as vice president of Bank of Jiangsu.



V. Staff

By the end of the reporting period, the company had a total of 9011 employees, among whom 8286 were then in post, accounting for 92% of total number of employees, 725 with retirement (including long sick leave), accounting for 8%. Among the on-the-job staff, 195 are Ph.D or MA holders, accounting for 2.4% of the number of employees in post; 6485 have bachelor’s degree or junior college certificates, accounting for 78.2%; 1606 people with secondary education and below people, accounting for 19.4%; 807 are dispatched employees, accounting for 9.7%.

I. Corporate Governance

During the reporting period, in accordance with "Company Laws" and other laws and regulations, "Guidelines for the Board of Joint-stock Commercial Banks (Trial)", " Guidance for the Board and Directors of Joint-stock Municipal Commercial Banks in Jiangsu Province (Trial)" and other regulatory policies, as well as "Company Constitution" and other internal norms, the company has further improved the corporate governance structure, learned from sophisticated banking experience and corporate governance, and given full play to all stakeholders especially directors and supervisors, hence ensuring regulated, robust, sustainable and rapid development.

(1) On shareholders and the Shareholders’ Assembly

In strict accordance with the "Company Constitution," the company convenes Shareholders’ Assembly, to ensure shareholder rights to know about, participate in and vote for major issues, and to ensure their equal status and full play of their rights. On March 27, 2008, the company held 2007 Annual Shareholders’ Assembly.

(2) On directors and the board of directors

The corporate board of directors is responsible to the Shareholders’ Assembly, holds meetings in accordance with legal procedures, and exerts its functions in strict accordance with laws, regulations and "Company Constitution".

The current board of directors includes 13 directors, i.e. 3 in-bank directors, 7 shareholder units and 3 independent directors. The board of directors has subordinate institutions, including the Strategic Development Committee, the Risk Management Committee, Remuneration and Nomination Committee, Control Committee of Auditing and Affiliated Transactions. Special committees held 14 meetings during the reporting period. Each committee is marked by a clear division of labor, responsibilities and effective operation.

Corporate directors carefully examine the information before the meeting to have a full grasp of information, so as to put forward professional and objective advice at the meeting and make independent judgments and decisions. Some directors failed to personally take part in meetings because of official duties and other reasons, but entrusted another director or independent director to participate in accordance with the requirements of relevant laws and regulations, ensuring the effectiveness and decision-making efficiency of board meetings. In the intersessional period, the directors got to know the operation and management through channels of corporate information and submitted recommendations and observations through the board office and specialized committees.

In strict accordance with "Company Laws", " Guidelines for the Board of Joint-stock Commercial Banks (Trial)", "Company Constitution" and "Rules of Procedure of the Board of Directors" and other relevant regulations this year, directors have effectively performed their duties on the basis of integrity, diligence, and professionalism, efficiently exerted the decision-making functions of Board of Directors, bearing the ultimate responsibility for operation and management. In order to make sure the company complies with laws, regulations, rules and to earnestly safeguard the legitimate rights and interests of shareholders, the board has devoted a great deal of time and energy to the study of strategic business development, appointment and appraisal of senior managers, annual financial budget and profit distribution plans, improvement in risk management, reinforcement of internal control, supervision over effective performance of senior management, monitoring the integrity and accuracy of corporate financial report. In accordance with the "Guidance for Board of Directors of Municipal Commercial Banks in Jiangsu Province (Trial)," the Board of Directors and its members have carried out their self evaluation of duties, leading to desirable results.

(3) on supervisors and board of supervisors.

The Board of Supervisors maintains close contact and communication with the Board of Directors and the senior management to perform duties. In accordance with "Company Laws" and "Company Constitution," corporate supervisors have become fully aware of the management and operation, supervised effectively corporate financial position, execution of senior management and the major issues so as to maintain the legitimate interests of the company and shareholders, through the meetings of the Board of Supervisors, attending meetings of the Board, special inspection, etc.

The supervisory board is composed of six supervisors, i.e. two staff supervisors, one external supervisor and three shareholders. The Board of Supervisors has a subordinate institution called Nominating Committee. Supervisors strive to fulfill their duty by supervision over corporate finance as well as directors, presidents and other senior managers so as to serve shareholders.

(4) On the senior management.

The senior management includes a president, three deputy presidents and an assistant president. According to "Company Constitution," the president is in charge of corporate daily operation and management, responsible to the Board of Directors, and conducts the standardization and institutionalization of operation and management, improves work efficiency and quality, to ensure the democratic and scientific decision-making.

(5) On the disclosure and transparency of information.

During the reporting period, the company developed a management system on disclosure of information. In strict accordance with the laws, regulations, "Company Constitution" and the information disclosure system, the company achieved true, accurate, complete and timely disclosure of the information, and made sure that all shareholders had equal access to information.

(6) Inspection and improvement of corporate governance.

In June 2008, Jiangsu Banking Regulatory Commission conducted a spot inspection on corporate governance, and in August 2008 issued the "Submissions of Spot Checks", mainly proposing issues of unified equity management, inadequate capital management system, insufficient central role of the Board of Directors, insufficient standardization of the operation of the Board of Directors, insufficient role of special committees of Board of Directors, weak management of affiliated transactions.

The company attached great importance to the existing problems of of corporate governance discovered by self-examination and inspection of regulatory authorities, as well as the views and suggestions by the banking supervisory institute, and actively took measures to carry out the rectification.
